Non-Disclosure Agreement

Effective Date: July 2, 2023

This Non-Disclosure Agreement ("NDA") is between IMPERFECTLY PERFECT - FZCO ("Company") and the client ("Client") who engages our premium content services.

1. Purpose

The parties wish to explore a business relationship in which the Company will have access to certain confidential information of the Client. This NDA ensures the protection of such information related to premium content services.

2. Confidential Information

For purposes of this Agreement, "Confidential Information" includes:

• All visual content provided for editing or management
• Account credentials and access information
• Business strategies and revenue information
• Any other information marked or reasonably considered confidential

3. Obligations

The Company agrees to:

• Maintain confidentiality of all Client information
• Use information solely for providing contracted services
• Implement reasonable security measures to protect information
• Limit access to employees/contractors who need to know
• Ensure all employees/contractors sign similar NDAs

4. Data Security

• All files will be transferred using encrypted protocols
• Content will be stored on secure servers with limited access
• All workstations used will have up-to-date security software
• Content will be permanently deleted after project completion unless otherwise agreed
